Vouch — Terms of Service

These Terms of Service (“Terms”) govern your use of Vouch (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.


1. Who we are

Vouch is operated by Kerry Lotee, trading as Vouch, a sole proprietorship based in Nairobi, Kenya (“Vouch”, “we”, “us”, “our”). Vouch provides a hosted storefront and commerce platform that lets sellers take orders and payments and collect verified reviews from their customers.

2. Definitions

  • “Merchant” / “you” — a person or business that opens a Vouch account to sell goods or services.
  • “Buyer” — a customer who places an order through a Merchant’s Vouch storefront.
  • “Content” — store details, product listings, images, text, and any other material you upload.

3. Eligibility and accounts

You must be at least 18 years old and legally able to enter into a contract to use the Service. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly of any unauthorised use.

4. What Vouch does and does not do

Vouch provides the platform. We host your storefront, help you take orders, route payments through our payment provider, send transactional emails to your Buyers, and collect verified reviews tied to completed orders.

Vouch is not the seller. The contract of sale for any goods or services is between you (the Merchant) and the Buyer. Vouch is not a party to that sale. You are solely responsible for:

  • the goods or services you offer, their description, quality, legality, and pricing;
  • fulfilling orders, arranging delivery or pickup, and handling returns, refunds, and disputes with Buyers;
  • any tax, licensing, or regulatory obligations arising from your business;
  • the lawfulness of the Content you upload.

5. Payments

Payments are processed by our third-party payment provider (Paystack). By using the Service you also agree to the payment provider’s terms. Vouch does not store your Buyers’ full card or payment credentials — these are handled by the payment provider. Payouts, fees, settlement timing, and chargebacks are governed by the payment provider’s terms and your arrangement with them.

Any fees Vouch charges you for use of the Service will be communicated to you clearly before they apply.

6. Data protection and your responsibilities as a controller

When Buyers place orders through your storefront, you are the data controller of your Buyers’ personal data, and Vouch acts as your data processor. Our respective obligations are set out in our Data Processing Addendum (DPA), which forms part of these Terms.

As controller, you are responsible for having a lawful basis to collect and use your Buyers’ data, for honouring their data-protection rights, and for any privacy notice you are required to give them. Vouch will process Buyer data only to provide the Service and on your instructions, as described in the Data Processing Addendum and our Privacy Policy.

7. Reviews

Reviews collected through Vouch are tied to real, completed orders (“verified”). You agree not to fabricate, solicit dishonestly, alter, or selectively suppress reviews in a way that misleads Buyers. Vouch may remove reviews that are unlawful, fraudulent, or that a Buyer has asked to have removed. The integrity of verified reviews is central to the Service, and misuse of the review system is a material breach of these Terms.

8. Acceptable use

You agree not to use the Service to:

  • sell goods or services that are illegal under Kenyan law;
  • upload Content that is unlawful, infringing, deceptive, or that you have no right to use;
  • misrepresent your identity, your business, or your products;
  • attempt to breach, probe, or disrupt the security or integrity of the Service;
  • use the Service to send unsolicited marketing to Buyers through Vouch’s systems.

We may suspend or terminate accounts that breach this section.

9. Your Content

You retain ownership of the Content you upload. You grant Vouch a limited licence to host, display, and process that Content solely to operate the Service (for example, to show your products on your storefront and to send order emails). You are responsible for ensuring you have the rights to any Content you upload.

10. Availability

We work to keep the Service available and reliable, but we provide it on an “as is” and “as available” basis. We do not guarantee that the Service will be uninterrupted or error-free. We may modify, suspend, or discontinue parts of the Service, and will give reasonable notice of material changes where practical.

11. Limitation of liability

To the fullest extent permitted by law:

  • Vouch is not liable for the goods or services you sell, or for any dispute between you and a Buyer.
  • Vouch is not liable for indirect, incidental, or consequential losses, or for loss of profits, revenue, data, or goodwill.
  • Vouch’s total liability to you for any claim arising from the Service is limited to the amount of fees you paid to Vouch in the three (3) months before the claim arose (or, if you paid no fees, a nominal amount).

Nothing in these Terms limits liability that cannot lawfully be limited.

12. Indemnity

You agree to indemnify and hold Vouch harmless against claims, losses, and costs arising from your goods or services, your Content, your breach of these Terms, your breach of data-protection law as controller, or your dealings with Buyers.

13. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your account if you materially breach these Terms, if required by law, or to protect the Service, Buyers, or others. On termination, we will handle your data and your Buyers’ data as described in the Privacy Policy and the DPA.

14. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date shows when they last changed. Continued use of the Service after changes take effect means you accept the updated Terms. We will communicate material changes through the Service where appropriate.

15. Governing law

These Terms are governed by the laws of Kenya. Any dispute will be subject to the jurisdiction of the courts of Kenya.
